About this round
Second issuance (EGP 633M) of the closed-end, Shariah-compliant Ijarah-based fixed-income fund managed by Misr for Financial Investments (MFIC), the asset-management arm of Synergy Capital, backed by real-estate mortgage (lease-to-own) receivables originated by Nawy Now, Nawy's FRA-licensed mortgage-financing arm. Nawy Now originates mortgages, warehouses them on bank facilities, then sells batches of seasoned loans to the fund at net present value with no recourse to the fund, keeping a thin margin and freeing balance-sheet capacity (EnterpriseAM); certificate holders are protected by a reserve account and a default-insurance policy. Synergy Capital acted as financial advisor, promoter and placement lead; Mubasher handled subscriptions/redemptions, ALC legal, Catalyst Partners administrator, Crowe Hegazy audit. Takes the programme past EGP 1bn (first issuance EGP 443M, Oct 2025, cornerstone investors Al Baraka Bank, Allianz Life Egypt, Misr Insurance Holding, Garhy Group) against a five-year EGP 5bn target; second issuance drew returning institutions plus first-time NGO/non-profit subscribers; book 43% above the first issuance. Framing differs by outlet: Dealroom 'Nawy Now raises $12.3M'; TechCabal Insights '$12.3M debt facility'; Launch Base Africa 'expands debt program' (USD 12.7M); EnterpriseAM 'offloaded another EGP 633mn of mortgages to a fund'. Not equity in Nawy and not a loan to Nawy; USD 12.3M implies ~EGP 51.5/USD.
